Terms of Service

By accessing or using GuideSpend ("the Service"), operated by GuideSpend Ltd ("we", "us", "our"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

1. Use of Service

You agree to use GuideSpend only for lawful internal business purposes related to managing renewal, vendor, spend, and related operational records for your organization in accordance with these Terms.

You must not use the Service to store or transmit content that is unlawful, harmful, or infringes any third-party rights. We reserve the right to suspend or terminate access for violations of acceptable use.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Intellectual Property

All rights, title, and interest in the Service — including its software, design, documentation, and branding — are and remain the exclusive property of GuideSpend Ltd. These Terms do not grant you any ownership rights in the Service.

You retain full ownership of the data you upload to or create within the Service ("Customer Data"). You grant us a limited licence to host, process, and display Customer Data solely to operate the Service on your behalf.

4. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. Prices are listed on our pricing page and may be updated with 30 days' written notice. All fees are non-refundable except where required by applicable law or as described in our cancellation policy.

If payment fails, we may downgrade your account to the Starter (free) tier after a 14-day grace period. We will attempt to notify the billing contact before any downgrade takes effect.

5. Free Trial

Paid plans include a 14-day free trial. No payment information is required to start a trial. At the end of the trial period, your account will revert to the Starter tier unless you subscribe to a paid plan.

6. Data Processing and Privacy

We process Customer Data in accordance with our Privacy Policy. Customer Data is stored in Supabase-managed infrastructure within the AWS network. We do not sell or share Customer Data with third parties except as necessary to operate the Service (e.g., payment processing via Stripe).

You may export or request deletion of your data at any time. See our Security page for details on our data-handling practices.

7. Limitation of Liability

To the maximum extent permitted by applicable law, GuideSpend Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars (US $100).

8. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. GuideSpend is a renewal-tracking and spend-visibility tool — it does not provide legal, financial, or tax advice.

9. Termination

Either party may terminate these Terms at any time. You may cancel your account through the billing settings page or by contacting support. We may suspend or terminate your access if you breach these Terms, with notice where practicable.

Upon termination, your right to use the Service ceases immediately. We will retain Customer Data for 90 calendar days after termination to allow you to export it, after which it will be permanently deleted. See our Cancellation & Data Retention Policy for full details.

10. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute is not resolved within 30 days, either party may initiate binding arbitration under the rules of an internationally recognized arbitration body, with the seat of arbitration in London, United Kingdom.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
